Matt McCracken is a trusted business adviser who provides strategic analysis, negotiation, and drafting support to lenders, closely-held businesses, and individuals in a wide array of real estate and business-related matters.  He prides himself on being a problem-solver who is professional, pragmatic, and efficient.

​Matt serves as Outside General Counsel to The Better Business Bureau Serving Greater Cleveland (BBB), Universal Windows Direct, Inc., and numerous other regional and closely-held businesses.  His areas of concentration include general business advice and strategic planning, start-ups, entity creation and governance (operating agreements, buy-sell agreements), mergers and acquisitions (asset and entity purchases), bank and private financing, employment matters and agreements, commercial real property acquisition, development, and leasing (office, retail, warehouse, multi-family), risk management, compliance with consumer protection laws, and various other contractual relationships (vendor agreements, supply contracts, management agreements, non-compete / non-solicitation agreements, etc.).​

Matt represents lenders, borrowers, and developers with respect to commercial real estate and corporate financing, including all aspects of loan origination (due diligence, title review and investigation, and loan documentation), and provides advice and counsel with respect to various commercial loan terms and conditions (recourse/non-recourse debt, mortgages, security agreements, and other forms of security, lien priority and disputes, monetary and non-monetary loan covenants, liquidity management, etc.).   Over the past decade, Matt has developed particular expertise in representing commercial lenders, borrowers, and guarantors in out-of-court workouts for distressed businesses and commercial real estate projects.

Matt and his wife, Aida, reside with their two sons in Pepper Pike, Ohio - approximately 500 yards away from KDG's offices.  In his free time, Matt can usually be found with his family in the Cleveland Metroparks, playing/enjoying live music, hacking around a golf course, or gardening in his backyard.
